Terms of Service.
Most service terms are written to win lawsuits. These are written to set expectations. The engagement model is simple, the fee is flat, and the binding clauses are conspicuous on purpose. The clinical sections begin below.
Important notice. These Terms contain an arbitration agreement, a class action waiver, and a jury trial waiver in Section 14. Read them carefully; they affect your legal rights.
cbi.vu charges a 5% advisory fee on the Vanuatu government contribution. There is no retainer, no hidden markup, and no surprise invoice. The waivers in Section 14 (arbitration, class action, jury trial) are real and apply on engagement; the notice above flags them up front.
Plainly stated.
- We charge a flat 5% advisory fee on the Vanuatu government contribution. No retainer. No markup on government costs.
- The first call is a paid engagement ($475 via BitSettle, $500 by card), not a free consultation. Whichever amount you pay is credited in full toward the $6,500 advisory fee if you retain within 90 days, and it is separate from the $5,000 VFIU line (Section 6.2).
- After compliance clearance, BTC, Lightning, and USDT settle the entire file through BitSettle, government contribution and professional fees alike; cards and bank transfers accepted as needed. We complete the statutory payments with the Vanuatu authorities on your behalf.
- We do not guarantee approval. Citizenship decisions belong to sovereign governments, not to us.
- We are not a law firm, tax advisor, or government agency. Engage qualified professionals where the matter calls for them.
- Disputes go to binding arbitration in Wyoming. Class actions and jury trials are waived (Section 14).
The clauses below are the binding legal text. If a line ever conflicts with this summary, the binding text governs.
1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of the cbi.vu website ("Website") and the services offered through it ("Services"), operated by Bitcitizen LLC ("Company," "we," "us," or "our"). By accessing or using the Website or Services, or by clicking "I agree" or any similar acceptance mechanism, you agree to be bound by these Terms. If you do not agree, do not use the Website or Services.
2. Related policies and document hierarchy
Your use of the Website and Services is governed by the following documents:
- These Terms of Service.
- Privacy Policy (cbi.vu/privacy.html).
- Cookie Policy (cbi.vu/cookie-policy.html).
- Bitcitizen LLC Terms of Service (bitcitizen.io/terms).
- Bitcitizen LLC Privacy Policy (bitcitizen.io/privacy).
- Bitcitizen LLC Legal Disclaimer (bitcitizen.io/legal).
In the event of a conflict, these cbi.vu Terms of Service control for matters specific to cbi.vu and its Services. For all other matters, the Bitcitizen LLC Terms of Service apply.
3. Eligibility
You must be at least 18 years of age to use the Website and Services. You represent and warrant that you are not subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, the United Nations, or any other applicable sanctions authority. You agree to provide truthful and accurate information at all times. Providing false or misleading information is grounds for immediate termination of your access and any engagement, without refund.
4. Description of services
cbi.vu provides citizenship-by-investment advisory services for the Republic of Vanuatu. The standard scope of an engagement includes:
- Initial consultation and Vanuatu program selection guidance (the Development Support Programme and the Capital Investment Immigration Plan).
- Application preparation and document review.
- Liaison with government agencies and authorized agents.
- Source-of-funds package assembly for Bitcoin-denominated wealth.
- Post-approval support and onboarding.
- Online tools, including the Bitcoin pricing calculator and the program-fit screener.
4.1 What we are
cbi.vu is a citizenship-by-investment advisory firm focused on the Republic of Vanuatu. We charge a 5% advisory fee on the Vanuatu government contribution.
4.2 What we are not
- We are not a law firm and do not provide legal advice.
- We are not an immigration practice.
- We are not a tax or financial advisor.
- We are not a government agency; we have no authority to grant or deny citizenship.
5. No legal, tax, or financial advice
Nothing on the Website or provided through the Services constitutes legal, tax, or financial advice. All information is for general informational purposes only. You should consult qualified legal, tax, and financial professionals before making any decision based on information obtained through the Website or Services.
- The Bitcoin pricing calculator provides estimates only; it does not constitute a quote or guarantee of costs.
- The program-fit screener provides general guidance; it does not constitute professional advice.
6. Payment terms
6.1 Advisory fee
Our advisory fee is 5% of the Vanuatu government contribution for the selected route (the Development Support Programme or the Capital Investment Immigration Plan). The advisory fee is payable upon engagement.
6.2 Engagement fee (first call)
The first call with the advisor is a paid engagement, not a free consultation: $475 settled in Bitcoin, Lightning, or USDT through BitSettle, or $500 by card through Stripe. If you retain cbi.vu within 90 days of that call, whichever amount you paid is credited in full toward the $6,500 advisory fee. This engagement fee is distinct from the $5,000 VFIU due-diligence line and is not part of the $130,000 government contribution or the $145,000 all-in total. "No obligation to proceed" describes the call itself, not the fee: the fee is payable to book the call and is not refunded once the call has taken place, but if you do not retain within 90 days it is not carried forward or credited against any later engagement. If you no-show without at least 24 hours' notice, the fee is forfeited; with at least 24 hours' notice you may reschedule once at no additional charge. If cbi.vu cancels the call and cannot offer a reasonable alternative time, the fee is refunded in full. The Vanuatu Brief remains free and carries no fee at any stage.
6.3 Payment methods
After compliance clearance, BTC, Lightning, and USDT settle the entire file: the Vanuatu government contribution and the professional fees alike. Credit cards and bank transfers are accepted as needed; card payments are processed by Stripe. Amounts quoted in sats are calculated at the prevailing exchange rate at the time of payment. USDC is not accepted.
cbi.vu completes the statutory payments with the relevant Vanuatu authorities on the client’s behalf, on the schedule those authorities require.
6.4 Government and third-party fees
Government fees, due-diligence fees, passport-issuance fees, and any other third-party fees are separate from the cbi.vu advisory fee. The 5% is charged on the government contribution alone; cbi.vu does not mark up government costs. Where the client settles the full file through cbi.vu, cbi.vu forwards these statutory amounts to the relevant Vanuatu authority on the client’s behalf rather than the client paying each authority directly.
6.5 Refunds
The advisory fee is generally non-refundable once work has begun on your file. Statutory amounts collected but not yet remitted to a Vanuatu authority are returned subject to that authority’s policies; amounts already remitted are subject to the relevant government’s refund rules. Where cbi.vu pre-screens a position and determines the file will not clear, we say so on the first call and we do not invoice the advisory fee. The engagement fee described in Section 6.2 ($475 via BitSettle or $500 by card) follows the refund and no-show terms stated there, not this section.
7. Client obligations
As a client, you agree to:
- Provide all required documents and information promptly and accurately.
- Respond to communications in a timely manner to avoid delays in your file.
- Disclose any criminal history, pending legal proceedings, or prior immigration denials.
- Refrain from misrepresenting any facts or documents in connection with your file.
- Comply with all applicable laws and regulations in your country of residence and the country of intended citizenship.
- Not use our Services for money laundering, sanctions evasion, tax fraud, or any other illegal purpose.
8. Application outcomes
We do not and cannot guarantee the approval of any citizenship-by-investment application. All decisions regarding the granting of citizenship are made solely by the relevant government authority. Many factors outside our control may affect the outcome of your file, including changes in government policy, the program’s due-diligence findings, and the completeness of supporting documentation.
We keep you informed of the status of your file throughout the process. If your file is denied, we will explain the available options, which may include reapplication, appeal where the program provides an appeal route, or application to an alternative program.
9. Intellectual property
All content on the Website, including text, graphics, logos, images, software, and other materials, is the property of Bitcitizen LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Website without our prior written consent.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL ADVISORY FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
11. Disclaimers

12. Indemnification
You agree to indemnify, defend, and hold harmless Bitcitizen LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the Website or Services;

- Any third-party claim arising from your use of the Services.
13. Governing law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions.
14. Dispute resolution
14.1 Informal resolution
Before initiating any formal dispute-resolution proceeding, you agree to first attempt to resolve the dispute informally by contacting us. Send a written notice describing the nature of the dispute and your desired resolution to contact@cbi.vu or by mail to 30 N Gould St, Ste R, Sheridan, WY 82801. We will attempt to resolve the dispute within 60 days of receiving your notice.
14.2 Binding arbitration
If the dispute cannot be resolved informally, you and Bitcitizen LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The arbitration may be conducted in person in Wyoming, or by videoconference if the parties mutually agree.
14.3 Class action waiver
YOU AGREE THAT ANY DISPUTE-RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
14.4 Jury trial waiver
YOU AND BITCITIZEN LLC HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. YOU AND BITCITIZEN LLC ARE INSTEAD ELECTING TO HAVE CLAIMS AND DISPUTES RESOLVED BY ARBITRATION.
15. Sanctions and compliance
We comply with all applicable sanctions laws, including those administered by the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, and the United Nations. We screen applicants against relevant sanctions lists and may refuse or terminate services to any individual or entity that appears on those lists, or that we reasonably believe poses a sanctions risk. We cooperate with law-enforcement authorities as required or permitted by law.
16. Termination
We may suspend or terminate your access to the Website and Services at any time, with or without cause, at our sole discretion. Grounds for termination include:
- Violation of these Terms;
- Providing false or misleading information;
- Being subject to sanctions or appearing on a sanctions list;
- Non-payment of fees;
- Conduct that we believe creates legal, reputational, or compliance risk for the Company.
Sections 5, 9, 10, 11, 12, 13, 14, and 15 survive termination of these Terms.
17. Modifications
We reserve the right to modify these Terms by posting the updated Terms on the Website. The "Effective" date at the top of these Terms reflects the date of the most recent change. We will notify you of material changes through the Website or by other reasonable means. Your continued use of the Website or Services after a modification constitutes your acceptance of the updated Terms.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
19. Entire agreement
These Terms, together with the Privacy Policy, the Cookie Policy, and any engagement agreement signed between you and Bitcitizen LLC, constitute the entire agreement between you and the Company regarding your use of the Website and Services.
